India's emerging market is regarded as the world's fastest growing for low-cost smartphones. The deal would create the world's third-largest fast-food chain, with 18,000 restaurants in 100 countries. The new group would have a market capitalisation of about $18bn and annual sales in the region of $23bn. Burger King's majority shareholder, 3G Capital, will own about 51% of the merged company. Under the terms of the deal, which has been unanimously approved by both companies' boards of directors, Tim Hortons shareholders will receive 65.50 Canadian dollars ($59.74; ￡36.10) in cash and 0.8025 shares of the new company for every share they own, the companies said in a joint statement. The S&P/Case Shiller 20-city index saw an 8.1% year-on-year price increase in June, compared with a 9.4% rise in May. Prices in Las Vegas, Phoenix, Miami and Tampa are still about a third below their housing bubble peaks of almost a decade ago. The FCA said "two reviews of sales from 2012 found that in over half the cases the suitability of the advice was not clear." The penalty is the latest in a string of financial hits taken by the bank, which is 80%-owned by the UK taxpayer. RBS has already been fined ￡390m for its part in the Libor rate fixing scandal, and has allocated ￡3.2bn compensation for mis-sold insurance. Net profit after tax for the period came to NZ$262m, up 45% on the previous year. Deep job losses, route cuts and a change of leadership are expected to feature in a restructuring plan being prepared by Malaysia's government for announcement as early as Thursday, when MAS also reports second-quarter results. The economy had contracted by 0.6% in the first quarter. A platinum strike in the country was blamed for the poor performance in the first three months. South Africa was last in recession in 2008 amid the global financial crisis.
